Understanding Company Registration in Nepal

Registering a company in Nepal is handled online through the Office of the Company Registrar (OCR). The process involves multiple steps:

1. Name Approval

The first step is checking name availability on the OCR website. You must submit a unique name that does not conflict with existing registered companies.

2. Document Drafting

You must draft the Memorandum of Association (MOA) and Articles of Association (AOA) in standard legal Nepali text, outlining the share capital, board members, and business objectives.

3. Local Ward Office Registration

After registration at the OCR, you must register the business at the local ward office (Wada Karyalaya) where your office is physically located.

4. Tax Office (PAN/VAT)

Finally, you must register at the Inland Revenue Department (IRD) to obtain a Permanent Account Number (PAN) and, if required by your business scope, register for Value Added Tax (VAT).
